Corporate Secretary (Administration / HR)

Our client is a Vancouver based publicly traded emerging forestry company currently engaged in the ownership of private timberlands, harvesting operations and manufacturing specialty wood products.

They have assembled a team of forestry leaders, boasting over 100 years in senior management roles in the industry.

Their experienced management team has secured quality, British Columbia regionally-focused assets to deliver significant near-term returns and long-term viability, building on a base of solid timber supply.

Working with and reporting to the president, the Corporate Secretary would be an upbeat individual who is detailed oriented, organized and self-motivated.  

Responsibilities include but not limited to: 

Financial Reporting:

  • Assist President, CFO and external auditors with timely filings of quarterly financial and MD&A statements
  • Coordinate quarterly directors meetings and audit committee meetings
  • Prepare and file press releases and material change reports in connection with quarterly financial reporting

Investor Relations:

  • Prepare and maintain investor presentations
  • Manage investor contact lists and meetings
  • Prepare and file news release

Annual General Meeting:

  • Manage preparation of proxy materials
  • Assist in preparation and information for the circular or annual report
  • Preside over annual meeting of shareholders

Insider trading/ Shares/ Options/ Warrants:

  • Manage insider trading windows
  • Manage exercise of options and warrants including preparation of treasury orders and delivery of shares
  • Maintain register of share capital, options and warrants.

Qualifications:

  • 3 to 5 years in a similar role
  • Experience within a publicly traded resource company
  • Familiarity and experience with Sedar and Sedi preparation and filing
  • Bookkeeping experience would be considered an asset
  • Proficiency with MS Office Suite (Word, Excel, Outlook)
  • Excellent organization and communication skills
  • Accurate and detail oriented with attention to detail
  • Time management and multi-tasking abilities
  • Ability to work within a deadline driven environment
